Terms of Sale

These terms govern every quotation and order TIERA issues. A price on this website is indicative and not an offer — the written quotation you receive from us is the price we are bound to.

Price

Prices are indicative, not an offer

Every price published on this website is indicative and is provided for budgetary guidance only. It is an invitation to treat and not an offer capable of acceptance. No contract of sale arises from a price shown here, from adding an item to an enquiry, or from any automated acknowledgement of an enquiry.

A binding price exists only in a written quotation issued by TIERA carrying a quotation reference and a stated validity date, and accepted within that validity period. Where a published price and a written quotation differ, the written quotation governs.

What the price excludes

Unless a quotation states otherwise, prices are ex-works (EXW, Incoterms 2020) our works at Thiruvananthapuram, Kerala, India.

Prices exclude: Goods and Services Tax and any other statutory tax or cess; packing and forwarding; freight and transit insurance; loading, unloading and handling; customs duty, import duty, port charges, clearance and brokerage; octroi, entry tax and local levies; installation, commissioning, calibration and training unless expressly itemised; and any bank, remittance or letter-of-credit charges.

For export orders the buyer is the importer of record and is responsible for all duties, taxes and clearance formalities in the destination country.

Validity and price movement

Published prices are reviewed periodically and may change at any time without notice. A published price carries no validity period.

Quoted prices are firm only for the validity period stated on the quotation. Beyond that period, prices are subject to re-confirmation.

Prices for products containing imported components, precious-metal contacts, or bought-in instrumentation are exposed to exchange-rate movement and to supplier price revision. Where a quotation is affected by a material change in either, we will re-quote rather than proceed on a price we can no longer honour.

Tenders, government and institutional orders

Prices published on this website do not apply to tenders, rate contracts, government purchases, public-sector undertakings, defence procurement, or institutional and educational bulk orders.

These are priced separately against the specific tender or purchase documentation, which routinely carries its own requirements for specification, inspection, testing, documentation, certification, packaging, delivery terms, warranty, liquidated damages and payment. Those requirements change the cost of supply and are reflected in the tender price.

A published website price may not be cited as the basis for a tender rate, a rate-contract price, or a comparative-statement evaluation.

Ordering

Before you raise a purchase order

Request a written quotation and check it before raising a purchase order. A purchase order raised against a website price rather than a current written quotation cannot be accepted at that price.

Your quotation will state the scope of supply, the applicable taxes, the delivery term, the lead time, the validity period, the warranty and the payment terms, and it will carry a quotation reference to cite on your purchase order.

If anything on the quotation does not match your requirement, tell us before ordering. It is faster to correct a quotation than to correct a delivered instrument.

How an order is formed

A contract is formed only when TIERA issues a written order acceptance or proforma invoice against your purchase order. A purchase order, an email confirmation, or a payment received is not by itself an accepted order.

Your purchase order should cite the TIERA quotation reference and match its scope of supply, delivery term, tax treatment and payment terms. Where a purchase order differs from the quotation it references, we will raise the discrepancy before accepting; we do not accept a purchase order's own printed terms by silence.

We may decline an order, in whole or in part, where the item is no longer available, where the specification cannot be met, where the quotation has expired, or where a required end-use declaration has not been provided.

Payment

Payment terms are those stated on the quotation and the proforma invoice. Terms differ by customer type, order value and destination, and are agreed per order rather than published.

Unless the quotation states otherwise: prices are payable in Indian Rupees for domestic supply and in the currency stated on the quotation for export supply; applicable GST is charged at the rate prevailing on the date of invoice; and all bank, remittance and letter-of-credit charges are to the buyer's account.

Goods remain the property of TIERA until payment has been received in full, notwithstanding that risk may have passed earlier. Delay in payment may suspend delivery, warranty support and any committed lead time.

Amendment and cancellation

An accepted order may be amended or cancelled only with our written agreement. Where work has commenced, cancellation charges apply to cover materials committed, work performed, and any non-returnable bought-in items.

Custom-built equipment, customised configurations, non-standard channel counts, bespoke fixtures and made-to-order simulators cannot be cancelled once manufacture has commenced, because they cannot be resold.

A change to specification after order acceptance is treated as a variation and may affect price and lead time. Variations are confirmed in writing before they are actioned.

Delivery

Stock and lead time

Stock levels are not shown on this website and are not held against enquiries. Availability is confirmed only at the time of quotation and re-confirmed at order acceptance.

Lead times are estimates given in good faith and are not guaranteed dates. They depend on component availability, imported sub-assembly lead times, customisation, calibration and testing requirements, and on domestic and international logistics conditions.

Lead times may be affected by circumstances outside our reasonable control, including supply-chain disruption, customs and port delays, shipping capacity, transport strikes, changes in import or export regulation, statutory or public holidays, natural events and force majeure. We will notify you of a material change to a committed delivery date as soon as we are aware of it.

Delivery, risk and title

Delivery is ex-works unless the quotation states another Incoterm. Risk in the goods passes to the buyer on handover at our works to the buyer or the buyer's nominated carrier, including where we arrange transport on the buyer's behalf as an accommodation.

Where we arrange freight or insurance at the buyer's request, we do so as agent for the buyer and at the buyer's cost and risk. Transit insurance is arranged only where expressly requested and itemised.

Title passes on receipt of payment in full. Partial delivery may be made against an order where the buyer has agreed, and each partial delivery may be invoiced separately.

Packing

Standard packing is suitable for road transport within India under normal handling conditions.

Export packing, sea-worthy packing, heat-treated or ISPM-15 compliant wooden packing, shock-and-tilt indicators, moisture barriers and desiccant are chargeable extras and must be specified at enquiry so they can be quoted.

Where the buyer's carrier or freight forwarder collects, packing suitability for the onward journey is the buyer's responsibility.

Inspection on receipt

Inspect the consignment on receipt, before signing the carrier's proof of delivery. Note any visible damage, shortage or discrepancy on the carrier's documentation at the time of delivery — an unqualified signature makes a transit-damage claim very difficult to pursue.

Report shortages, wrong supply or transit damage to us in writing within seven days of delivery, with photographs of the packaging and the goods as received, and retain the packaging until the claim is settled.

Claims raised after this period, or where the packaging has been discarded, may not be supportable with the carrier or the insurer.

Product

Specification, design and appearance

TIERA develops its products continuously. Specifications, dimensions, materials, finish, colour, layout, component makes, shape and appearance are subject to change without notice and without obligation to modify equipment previously supplied.

Photographs, renderings and illustrations on this website are representative. Accessories, cabling, fixtures, sensors and instrumentation shown alongside a product are not included unless expressly listed in the scope of supply on the quotation.

Where a specific make, model, dimension or component is critical to your application, state it in your enquiry and confirm it on the quotation. Only what is written in the quotation's scope of supply forms part of the contract.

Third-party and distributed products

TIERA supplies certain products manufactured by others, including instrumentation, sensors, cabling and accessories from partner brands.

For these, the manufacturer's own specification, warranty period and warranty terms apply, and are passed through rather than replaced by TIERA's own warranty. Lead times for distributed products follow the manufacturer's supply position and are outside our control.

Manufacturers may revise specifications, part numbers and packaging without notice to us. Where a revision affects an accepted order we will inform you and, if the change is material, offer to re-confirm or cancel.

Software and licences

Software supplied with or alongside equipment is licensed, not sold. A licence grants the right to use the software on the terms of its own licence agreement and does not transfer ownership or source code.

Licences may be node-locked, seat-limited or time-limited, and subscription licences require renewal to continue functioning. The licence type and term are stated on the quotation.

Software updates, version upgrades, feature modules and continued support may be chargeable and are not implied by the purchase of hardware.

Calibration, certificates and accreditation

Where a calibration certificate is supplied, it records the result of a calibration performed at a stated date under stated conditions against stated reference equipment. It is a record of that calibration and does not warrant continued accuracy over time; recalibration intervals are the user's responsibility.

Certificates issued by TIERA are TIERA's own certificates. Where a customer requires calibration traceable through a specific national or accredited laboratory route, that must be specified at enquiry so it can be arranged and quoted; it is not included by default.

Training completion certificates issued by TIERA record attendance and assessment on a TIERA programme. Any statement about correspondence to an external standard or scheme is made only where expressly stated in writing, and TIERA does not represent that its own certificates are issued by, or on behalf of, any external certifying body.

Training, courses and examinations

Course fees, examination fees and certification fees are separate items and are stated individually on the quotation. Examination fees are payable whether or not the candidate passes.

Course bookings are per named candidate and are not transferable without our agreement. Rescheduling and cancellation terms are stated at the time of booking.

Completion of a course does not guarantee a particular examination outcome. Where a course prepares candidates for an external certification, the certifying body sets and controls the examination and its result.

Warranty & support

Warranty

TIERA-manufactured equipment carries a warranty of twelve months from the date of acceptance at the buyer's site against defects in materials and workmanship, unless a different period is stated on the quotation.

Warranty is limited, at our option, to repair or replacement of the defective part, or to a credit of the price paid for it. Warranty service is provided at our works; on-site attendance, travel, and shipping of goods to and from our works are chargeable unless expressly included.

The warranty does not cover: consumable and wear items; damage from misuse, overload, overspeed, incorrect supply voltage, inadequate earthing or environmental conditions outside the stated ratings; unauthorised modification, repair or opening; damage in transit; normal wear; or components deliberately subjected to fault conditions as part of the equipment's intended training function.

Spares, service and support

Annual maintenance contracts are available and are quoted separately. Out-of-warranty service, recalibration and spares are chargeable at rates current at the time of service.

We aim to support supplied equipment for a reasonable working life, but cannot guarantee indefinite availability of spares where a bought-in component has been discontinued by its manufacturer. Where a direct replacement is unavailable we will offer a functional equivalent or an upgrade path.

Remote support is provided during Indian business hours. Response and resolution commitments apply only where an annual maintenance contract or a written support agreement is in force.

Returns

Goods correctly supplied against an accepted order are not returnable for change of mind, incorrect selection by the buyer, or a change in the buyer's project.

Custom-built equipment, customised configurations and made-to-order items are not returnable in any circumstances other than a defect covered by warranty.

Any return requires our written authorisation and a return reference before despatch. Unauthorised returns will be refused. Authorised returns of standard stock items may attract a restocking charge and must be received in original packaging, unused and complete.

Legal

Limitation of liability

Our total liability arising out of or in connection with an order, whether in contract, tort, negligence, statute or otherwise, is limited to the price paid for the goods or services giving rise to the claim.

We are not liable for indirect or consequential loss, including loss of production, loss of profit, loss of contract, loss of data, plant downtime, cost of replacement equipment, or the cost of a decision taken on the basis of a measurement.

Nothing in these terms excludes or limits liability where it cannot lawfully be excluded or limited, including liability for death or personal injury caused by negligence, or for fraud.

Measuring instruments and fault simulators are tools that inform engineering judgement. Responsibility for the operation, maintenance and safety of the buyer's machinery, and for any decision taken on the basis of a measurement, remains with the buyer.

Safe use and installation

Equipment must be installed, operated and maintained in accordance with the supplied manual, by competent persons, within its stated electrical, speed, load and environmental ratings.

Rotating machinery test equipment and fault simulators present mechanical hazards. Guards, interlocks and emergency stops fitted to the equipment must not be removed, defeated or bypassed. The buyer is responsible for risk assessment, safe working procedures, operator training and compliance with workplace safety regulation at the site of use.

Equipment supplied for training or research is not intended for use as a protective, safety-instrumented or life-safety system.

Intellectual property and confidentiality

All intellectual property in TIERA products, designs, drawings, specifications, firmware, software, documentation, course material and know-how remains the property of TIERA. Nothing in a sale transfers it.

Drawings, specifications and quotations issued to you are provided for the purpose of evaluating and using the supplied equipment. They may not be reproduced, shared with a competing supplier, or used to procure or manufacture equivalent equipment.

Each party will keep the other's commercially confidential information confidential and use it only for the purpose for which it was provided.

Export control and end use

Export orders are accepted subject to the buyer providing any end-use or end-user information reasonably required, and subject to our obtaining any licence or authorisation that may be required for the supply.

The buyer undertakes not to re-export, transfer or use the supplied goods, software or technology contrary to applicable export-control, sanctions or embargo regulations, and confirms that it is not a restricted party under those regulations.

Where a required authorisation is refused, withdrawn or delayed, we may suspend or cancel the affected order without liability beyond refund of sums received for undelivered goods.

Force majeure

Neither party is liable for failure or delay in performing an obligation, other than an obligation to pay, caused by an event beyond its reasonable control.

Such events include: act of God, flood, fire, earthquake or extreme weather; epidemic or public-health measure; war, civil unrest, terrorism or sabotage; strike, lockout or industrial dispute; failure of utilities or telecommunications; cyber incident; port, customs or transport disruption; shortage of raw material or components; and change in law, regulation, tariff or import or export control.

The affected party will notify the other promptly and use reasonable efforts to mitigate. Where the event continues for more than ninety days, either party may cancel the affected part of the order without liability beyond payment for work already performed.

Anti-bribery and fair dealing

TIERA does not offer, give, solicit or accept any bribe, facilitation payment or improper advantage in connection with any sale, tender or contract, and requires the same of its agents and representatives.

TIERA complies with applicable anti-bribery and anti-corruption law and will provide the declarations and undertakings commonly required in public-sector and tender procurement on request.

Any attempt to induce an improper advantage in connection with an enquiry, quotation or order will result in withdrawal of the quotation and may be reported.

Enquiry data and privacy

Information submitted through an enquiry or quotation request is used to respond to that enquiry, to prepare a quotation, and to maintain the resulting customer relationship.

We do not sell enquiry data. Where information is shared with a manufacturer or logistics provider, it is shared only to the extent needed to quote or to fulfil the order.

You may ask us to correct or delete your details by writing to us, subject to records we are required to retain for tax, statutory or contractual purposes.

Precedence, entire agreement and severability

Where documents conflict, the following order of precedence applies: a signed contract or agreed tender conditions; the TIERA order acceptance; the TIERA quotation; these terms of sale; and finally any information published on this website.

These terms, together with the quotation and order acceptance, form the entire agreement for the supply and supersede prior discussions, representations and marketing material.

If any provision is found unenforceable, the remainder continues in force. A failure to enforce a provision is not a waiver of it.

Governing law and disputes

These terms and any contract formed under them are governed by the laws of India.

The parties will first attempt to resolve any dispute in good faith between senior representatives. A dispute not resolved that way shall be referred to arbitration under the Arbitration and Conciliation Act, 1996, before a sole arbitrator, seated at Thiruvananthapuram, Kerala, conducted in English.

Subject to the above, the courts at Thiruvananthapuram, Kerala shall have jurisdiction.
